General Counsel
Position Description
Position Summary:
CAQH is seeking a visionary and highly accomplished General Counsel to lead its legal function and serve as a key member of the senior leadership team. This individual will act as a trusted advisor providing high-level strategic guidance on legal, regulatory, compliance, and risk matters affecting the organization. The General Counsel will be instrumental in safeguarding the company’s reputation, supporting innovation and growth, and ensuring legal and ethical integrity across all business operations.
The ideal candidate is a proactive, solutions-oriented legal executive with deep experience in corporate governance, commercial transactions, enterprise risk management, and regulatory compliance. This role requires exceptional judgment, business acumen, and the ability to navigate complex legal landscapes while supporting the organization’s mission and strategic goals.
This role is a full-time, remote, exempt position and reports to the Chief Financial Officer.
Base Salary Range: $300,000 - $350,000 annually.
Specific Responsibilities:
Strategic Legal Leadership
- Provide executive leadership and oversight for all legal matters affecting the organization and aligning legal strategies with business objectives.
- Lead, mentor, and scale a high-performing legal team, fostering a culture of excellence, integrity, and business partnership.
- Advise the Executive Leadership Team and the Board of Directors on legal implications of strategic decisions, business transactions, and policy initiatives.
- Monitor and anticipate evolving legal and regulatory developments and advise the organization accordingly.
Corporate Governance
- Serve as the chief legal advisor to the Executive Leadership Team on corporate governance, fiduciary duties, and regulatory compliance.
- Oversee preparation for board meetings, governance policies, and disclosures to ensure alignment with legal and ethical standards.
- Ensure compliance with applicable federal, state, and international laws governing corporate entities (if applicable).
Enterprise Risk & Compliance
- Develop and lead an enterprise-wide legal risk management strategy, identifying potential risks and implementing proactive mitigation plans.
- Oversee internal compliance programs, including ethics, privacy, regulatory reporting, and training programs.
- Ensure the organization meets obligations under key laws and regulations, including HIPAA, data privacy and industry-specific requirements.
Commercial and Contractual Matters
- Oversee legal review, drafting, and negotiation of a broad range of commercial contracts, including vendor, customer, licensing, and partnership agreements.
- Establish and maintain standard contract templates, approval workflows, and contract lifecycle processes to ensure consistency and efficiency.
- Provide legal support for corporate transactions, such as financings, M&A, joint ventures, and strategic alliances, as needed.
Litigation & Dispute Resolution
- Manage all legal disputes, litigation, and regulatory investigations, engaging and supervising outside counsel as necessary.
- Design and execute litigation strategies to minimize risk exposure and financial impact.
- Ensure timely and cost-effective resolution of disputes while protecting the company’s interests and reputation.
Cross-Functional Collaboration
- Act as a strategic partner to business units by providing pragmatic, business-savvy legal guidance on emerging opportunities and risks.
- Collaborate closely with Finance, HR, IT, Product, and Compliance teams to embed legal considerations into day-to-day operations.
- Serve as a thought leader and internal educator on legal best practices, trends, and emerging issues.
Team & Performance Management
- Set clear goals and performance metrics for the legal department and track progress regularly.
- Foster a results-driven, accountable, and collaborative team culture.
Supervisory Responsibilities:
- Supervise and mentor legal staff, including Sr. Counsel, supporting their professional development and effectiveness.
Skills:
- Demonstrated success leading legal operations in a complex, regulated environment.
- Deep knowledge of corporate law, contract law, privacy law, and regulatory compliance.
- Proven ability to balance legal risk with business goals and deliver actionable, strategic guidance.
- Excellent judgment, integrity, and interpersonal skills with the ability to influence at all levels of the organization.
- Strong leadership presence and effective communication with stakeholders across legal and non-legal disciplines.
Experience:
- Minimum 15 years of progressive legal experience, including at least 5 years in a senior leadership capacity.
- Background in corporate legal departments, law firms, or a combination thereof, preferably within healthcare or technology sectors.
Education:
- Juris Doctorate degree from an accredited law school and a member in good standing of a state (or DC) bar.
